Solutions Partner Agreement
This agreement is between SpamCipher and an agency or consultant approved as a Solutions Partner. It covers who qualifies, the two ways a partner earns (reselling at the partner price, or referring a client and earning commission), the partner ladder, how commission is paid, and how the agreement changes or ends. Our Terms of Service, our Privacy Policy and the Deliverability Code of Conduct also apply. You accept this agreement by ticking it in the partner area of the app.
1.Who qualifies
A Solutions Partner is a registered business with a website and a LinkedIn page that runs outbound for clients. To be approved and to stay approved you need a SpamCipher ONE workspace of your own and at least one client workspace that has sent email in the last 30 days. We approve partners at our discretion. You accept this agreement and the Deliverability Code of Conduct in the partner area before your first payout.
2.Resell or refer
Each client workspace is either resold or referred, never both.
- Resold. You buy SpamCipher ONE for a workspace you own or administer at the partner price for your rung, and set your own price to your client. Your margin is your share. A resold workspace earns no commission. The partner price applies while your own account is an owner or admin of the workspace, and is checked at every renewal.
- Referred. Your client signs up through your link, or names you as their partner of record, and pays our standard price, not the partner price. You earn commission on what they pay.
3.Partner of record
A referred workspace has one partner of record. The workspace owner names you, or you ask as an admin of the workspace and the owner confirms by email; the owner is told either way and can change it. A partner of record is never replaced while one is in place: the owner removes the current one first. A record set more than 60 days after the workspace's first payment is held for us to confirm before any commission is due. Disputes about who referred a workspace come to us, and we look back 60 days.
4.How a referral is credited
- A visit through your link sets a cookie for 60 days. The last partner or affiliate link clicked before the client signs up, or before their first purchase, gets the credit. Once the workspace has paid, the credit does not move.
- Only new customers count: a workspace that has never paid. A second workspace of someone who is already a customer is never a referral, and you cannot be the partner of record of a workspace you own.
- A client who arrives through your link gets 10% off SpamCipher ONE for their first three months on a monthly plan, or off their first invoice on an annual plan. You may not offer any other discount or incentive in our name.
- When a referral is credited we compare signals such as payment details, email domains and network addresses with your own. A match holds the commission while we review it. Commission from fake accounts or self-referrals is forfeited.
5.The partner ladder
Your rung is set by the paid workspaces you bring, resold and referred together, and lifted by time with us: a full year lifts you one rung and three full years lift you two. We may agree a starting rung with a partner who arrives with clients; your rung never falls below it.

Your rung is checked whenever it is used: at purchase, at every paid invoice and on the pricing page. You move up the moment you qualify, and down only after 60 days below a rung's threshold.
6.Commission
On a referred workspace you earn your rung's commission rate on what the client pays for SpamCipher ONE and enterprise contracts billed through our standard checkout, after any discount and before taxes. Credit packs, done-for-you setup, verification packs, taxes and any amount refunded, disputed or not collected do not count.
Commission on each referred workspace runs for 36 months from its first payment, and stops when the workspace's subscription ends.
7.Holds, payouts and reversals
- Each commission is held 30 days from the client's invoice, so refunds can clear, then becomes due.
- We pay due balances of $50 or more on the 15th of each month, by PayPal, in US dollars. Smaller balances roll over.
- Commission on an annual plan is paid in 12 monthly parts.
- Refunds, in full or in part, and payments disputed with a bank or card issuer reverse the matching commission in proportion, from your next balance if it was already paid. If your balance stays negative when the partnership ends, you agree to repay it.
- Before your first payout we need your legal name, address, country and tax number where you have one; we pay from Canada. With each payout we issue a statement you can keep as an invoice.
8.Your clients
You may operate SpamCipher for your clients. You are responsible for each client's use of it: that they follow our Terms of Service and the Deliverability Code of Conduct, and that they know SpamCipher is the sender. You may invite a client to their own workspace with the client role, which shows them that workspace's campaigns, replies, reports and deliverability and lets them change nothing. A client never sees your billing, your team, your integrations or your other workspaces.
9.Changes to rates and terms
We may change the partner price, the commission rates, the ladder or this agreement with at least 30 days' notice. A change we make to the rates never lowers the commission rate on clients already referred to you. Your rung itself still moves as section 5 says, and the partner price and your commission rate follow your rung.
10.Ending the partnership
You may end the partnership at any time by writing to us. We may end it, or close the program, with 30 days' notice. If it ends for any reason other than a breach, commission already earned is paid on the normal schedule and no new commission is earned. If you breach this agreement or the Deliverability Code of Conduct, we may end the partnership at once, and any unpaid balance is forfeited.
However it ends, resold workspaces stop getting the partner price: the first renewal after the end checks it, and the renewal after that is billed at our standard price.
11.General
You take part as an independent business, not as our employee, agent or partner in law, and you may not make promises on our behalf or present yourself as SpamCipher. Our total liability to you under this agreement is limited to the commission paid to you in the 12 months before the claim. This agreement is governed by the laws of the Province of Saskatchewan and the federal laws of Canada that apply there, and disputes are settled as the Terms of Service say, by individual arbitration in Saskatchewan. If any part cannot be enforced, the rest still applies.
